Terms and conditions of sale
These terms and conditions apply to quote requests made on lifepo4cells.eu and to the sales that follow from them.
01Who we are
lifepo4cells.eu is a cell catalogue where customers can request quotes. It is run by Litio Store SRL, Via Giotto 2, 06028 Sigillo (PG), Italy, VAT number and tax code IT03894170541, email info@litio.store. The site is not an online shop: no purchase is concluded on this site.
02Scope
These terms apply to consumers (natural persons acting for purposes outside their trade, business, craft or profession) and to businesses, professionals and VAT-registered customers. Where a rule applies only to consumers, this is stated. Special conditions agreed in writing for B2B supplies, OEM projects or custom orders prevail over these terms for the matters expressly agreed.
03Catalogue and quote requests
Product pages, specifications and prices on the site are for information and are an invitation to request a quote. Sending a quote request is free and does not commit the customer. We reply by email with a written quote stating the cells, quantities, final price, delivery terms and how long the quote is valid.
04Conclusion of the contract
The contract is concluded when the customer accepts the quote in writing and Litio Store SRL confirms the order by sending a pro forma invoice. We may decline a request, for example if cells are no longer available, in the event of an obvious error in price or description, or if the billing or delivery details cannot be verified.
05Prices, VAT and invoicing
Prices shown on the site are indicative, per cell, and exclude VAT and shipping. The binding price is the one stated in the quote. For delivery addresses in the European Union, the quote is one all-inclusive delivered price: import duties and customs clearance are paid by us and nothing is due on delivery. VAT: EU businesses with a valid VAT number checked on VIES are invoiced at 0% (intra-community reverse charge); Italian businesses and private customers in Italy pay Italian VAT at 22%; private customers in other EU countries pay the VAT rate of their country, included in the price. For deliveries outside the EU, import duties, local taxes and customs fees are paid by the customer on arrival. Italian businesses must provide an SDI code or PEC address for electronic invoicing.
06Minimum order quantity
Cells are supplied in multiples of 4, with a minimum of 4 cells.
07Payment
Payment is made by bank transfer against the pro forma invoice, within the term stated on it. Cells in stock in Europe can also be bought directly on litio.store with the payment methods available there.
08Delivery times
Cells in stock in Europe are delivered within 10–20 calendar days of receipt of payment. For cells shipped from China, the delivery time is stated in the quote. Delivery times are estimates: we inform the customer of any significant delay, and if the delay is not acceptable the customer may cancel the order and receive a refund for the part not delivered.
09Shipping and transfer of risk
Lithium and sodium cells are packed and declared as dangerous goods under the applicable transport rules (ADR). For consumers, risk passes when the customer, or a third party designated by the customer other than the carrier, takes physical possession of the goods. For business customers, unless otherwise agreed in writing, risk passes when the goods are handed over to the carrier. On delivery, check the packaging and the number of parcels: if a parcel is damaged, accept it subject to a specific written reservation on the carrier's delivery note and report it to info@litio.store with photos as soon as possible.
10Genuine cells
We guarantee that every cell supplied is an original cell from the manufacturer stated in the quote. We do not supply relabelled, rewrapped or counterfeit cells.
11Legal guarantee
Consumers: the 24-month legal guarantee of conformity from delivery applies (Italian Consumer Code, Legislative Decree 206/2005, Articles 128 et seq.), without prejudice to any more favourable mandatory rules of the consumer's country. Business customers: the warranty against defects under the Italian Civil Code (Articles 1490 et seq.) applies for 12 months from delivery; defects must be reported in writing within 8 days of discovery. The guarantee does not cover damage caused by use outside the manufacturer's voltage, current and temperature limits, use without a suitable BMS, over-discharge or prolonged storage without charging, mechanical damage, lack of compression where required by the manufacturer, unauthorised modifications, transport damage not reported as described above, or normal capacity loss due to cycling and ageing.
12Right of withdrawal
Consumers may withdraw from the contract within 14 days of delivery without giving any reason. The right of withdrawal does not apply to businesses, professionals or VAT-registered customers. 13Use of the cells and liability
Battery cells are components intended to be assembled and used by competent persons, in accordance with the manufacturer's instructions and the applicable technical and safety standards, and always with a battery management system (BMS) suitable for the chemistry and the number of cells in series. Information on the site, including specifications, comparison tables and the pack calculator, is for guidance only and does not replace the manufacturer's datasheet or professional advice. To the extent permitted by law, we are not liable for damage caused by incorrect assembly, wiring or use, or by use outside the stated specifications. This does not limit liability for wilful misconduct or gross negligence, for personal injury, or under mandatory product liability and consumer protection rules.
14Force majeure
We are not liable for delays or failures caused by events that could not reasonably be foreseen or avoided, such as natural disasters, strikes, decisions of public authorities, interruptions to transport or supply, or failures of third-party IT systems. In such cases, deadlines are suspended for the duration of the event and the customer is informed.
15Changes
We may update these terms. The version published when the quote is accepted applies to that order. If any clause is held to be invalid, the remaining clauses stay in force.
16Applicable law and jurisdiction
These terms are governed by Italian law. Consumers keep the mandatory protection of the law of their country of residence in the EU, and the competent court is that of the consumer's place of residence where required by law. For business customers, the courts of the place where Litio Store SRL has its registered office have exclusive jurisdiction.
17Complaints and dispute resolution
Complaints can be sent to info@litio.store: we reply as quickly as possible and look for an agreed solution. Consumers may also use the alternative dispute resolution (ADR) bodies provided for by Articles 141 et seq. of the Italian Consumer Code and, for cross-border disputes within the EU, the European Consumer Centres Network (ECC-Net). Using these procedures is optional and does not affect the right to go to court.
